1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the PawDesk platform (the “Service”), including all related websites, software, and services operated by PawDesk (“PawDesk”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a veterinary clinic, company, or other entity, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

PawDesk provides a cloud-based platform designed to assist veterinary clinics in managing appointments, patient records, prescriptions, billing, laboratory results, and other administrative and clinical workflows.

The Service may include automated features and artificial intelligence tools, including the PawDesk assistant (“Ranulfo”), which generate suggestions, summaries, or other information based on data entered into the system.

The Service is intended to assist veterinary professionals but does not replace clinical judgment or professional medical decision-making.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete information during registration;
  • Maintain the security and confidentiality of your login credentials;
  • Notify PawDesk immediately of any unauthorized access to your account.

You are responsible for all activities that occur under your account.

4. License to Use the Service

Subject to these Terms and payment of applicable subscription fees, PawDesk grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal veterinary practice operations.

You may not:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service;
  • Use the Service to develop competing software;
  • Resell, sublicense, or commercially exploit the Service without authorization;
  • Attempt to gain unauthorized access to the Service or its systems.

5. Customer Data

Veterinary clinics using PawDesk may store and process information relating to pets, pet owners, clinical notes, and other records (“Customer Data”).

You retain ownership of all Customer Data you submit to the Service. By using the Service, you grant PawDesk a limited license to process and store such data solely for the purpose of providing and improving the Service.

You are responsible for ensuring that the collection and processing of Customer Data complies with applicable laws and that you have obtained any necessary consent from pet owners or clients.

6. AI Features

Certain features of the Service use artificial intelligence technologies to assist with documentation, summaries, or operational suggestions. These tools may process relevant information from Customer Data in order to generate responses.

AI-generated outputs are provided for informational purposes only. PawDesk does not guarantee the accuracy, completeness, or reliability of such outputs, and users remain fully responsible for verifying any information used in clinical or operational decisions.

7. Fees and Billing

Access to certain features of the Service may require a paid subscription. Subscription fees, billing cycles, and included features depend on the plan selected at the time of purchase.

  • Subscriptions may renew automatically unless cancelled.
  • You authorize PawDesk or its payment processor to charge applicable fees.
  • Failure to pay fees may result in suspension or termination of access.

Unless otherwise stated, fees are non-refundable except where required by law.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Upload malicious code or attempt to disrupt the Service;
  • Access data belonging to another organization without authorization;
  • Use the Service in a manner that could harm PawDesk, its users, or its infrastructure.

9. Availability and Changes

We strive to maintain reliable access to the Service but do not guarantee uninterrupted availability. The Service may occasionally be unavailable due to maintenance, updates, or circumstances beyond our control.

PawDesk reserves the right to modify, suspend, or discontinue features of the Service at any time.

10. Termination

You may stop using the Service at any time. PawDesk may suspend or terminate access to the Service if you violate these Terms or if continued access could harm the Service or its users.

Upon termination, your right to use the Service ceases. Data retention and deletion are handled in accordance with our Privacy Policy.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, PawDesk disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, PawDesk and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Service.

Our total liability for any claim relating to the Service shall not exceed the total amount paid by you for the Service during the twelve (12) months preceding the event giving rise to the claim.

13. Changes to the Terms

We may update these Terms from time to time. When material changes are made, we will update the “Last updated” date and may provide notice through the Service or by email.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which PawDesk operates, without regard to conflict of law principles.
